Terms of Service

These Terms of Service ("Terms") govern your access to and use of Probe's autonomous startup factory platform, APIs, and related services (collectively, the "Services"), provided by Probe ("Probe," "we," "us," or "our"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

You must create an account to access most features of the Services. You agree to:

  • Provide accurate and complete registration information.
  • Keep your credentials secure and not share them with others.
  • Notify us immediately of any unauthorized access to your account.
  • Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that we believe are compromised, used fraudulently, or in violation of these Terms.

3. Permitted Use

Subject to these Terms and payment of applicable fees, Probe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your lawful internal business purposes.

You agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Scrape, crawl, or systematically extract data from the Services without prior written consent.
  • Use the Services to generate, distribute, or publish content that is illegal, harmful, defamatory, discriminatory, or infringes third-party rights.
  • Attempt to gain unauthorized access to any systems, networks, or data associated with the Services.
  • Resell, sublicense, or otherwise commercialize access to the Services without our written permission.
  • Interfere with or disrupt the integrity or performance of the Services.

4. AI-Generated Content

Probe uses large language models and generative AI systems to produce content (including but not limited to websites, marketing copy, ad creatives, business plans, and brand assets). You acknowledge:

  • AI-generated outputs may be inaccurate, incomplete, or inappropriate for specific use cases. You are responsible for reviewing, verifying, and approving all outputs before publication or distribution.
  • We do not warrant that AI-generated outputs are free of intellectual property claims by third parties. You assume responsibility for assessing and clearing any such claims before use.
  • Outputs that would be unlawful to publish or distribute remain your responsibility. We are not liable for harm arising from your use of AI-generated content.

5. Your Content

You retain ownership of content, data, and materials you submit to the Services ("Your Content"). By submitting Your Content you grant Probe a worldwide, royalty-free, non-exclusive license to use, process, store, and display Your Content solely as necessary to provide and improve the Services.

You represent and warrant that You have the rights necessary to grant this license, and that Your Content does not violate any law or infringe any third-party rights.

6. Fees and Payment

Certain features of the Services require payment of fees as described on our pricing page. All fees are in USD unless stated otherwise. By providing payment information you authorize us (via our payment processor) to charge the applicable fees.

Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and no refunds are issued for partial periods unless required by applicable law.

We reserve the right to change our pricing with 30 days' notice. Continued use of paid features after the effective date constitutes acceptance of the new pricing.

7. Intellectual Property

The Services, including all underlying software, designs, trademarks, and documentation, are owned by or licensed to Probe and protected by intellectual property laws. Nothing in these Terms transfers any ownership interest to you.

Subject to Section 5, any output you generate using the Services and subsequently publish or distribute is governed by the terms of the underlying AI model providers and applicable law. We make no warranty of ownership or exclusivity over AI-generated outputs.

8. Third-Party Services and Integrations

The Services may integrate with or link to third-party platforms (advertising networks, social media platforms, payment processors, analytics providers). Your use of those platforms is governed by their own terms of service and privacy policies. We are not responsible for the practices of third-party services.

9. Delegated Authority to Act on Your Behalf

Parts of the Services work by acting as you on platforms operated by other companies. This Section sets out the authority you grant Probe to do that, and the limits on it. It applies only if you have affirmatively accepted these delegation terms in your account settings. Until you do, the credential vault and the third-party connection flows described below are unavailable to you, and Probe takes no action on your behalf on any third-party platform.

9.1 Grant of Limited Agency

By accepting these delegation terms you appoint Probe as your limited agent, and authorize Probe and its automated systems to do the following on your behalf, using credentials you supply:

  • Register new accounts in your name on third-party platforms, including accepting those platforms' own terms of service on your behalf.
  • Sign in to accounts you already hold on third-party platforms, whether by federated sign-in (for example "Continue with Google") or by submitting a username and password you have provided.
  • Take the specific actions the Services are designed to perform on those platforms at your direction, including creating, publishing, scheduling, and removing content, configuring projects and settings, and reading data from the account.
  • Store, encrypt, and transmit the credentials necessary to do the above, as described in Section 9.3 and in our Privacy Policy.

This authority is limited, non-exclusive, and revocable. It exists solely so that Probe can deliver the Services you requested, and for no other purpose.

9.2 Scope and Limits

The authority granted in Section 9.1 extends only to the platforms you have explicitly connected through the Services, and only to those platforms for which Probe maintains a supported integration. Probe will not use this authority to:

  • Access any account you have not connected through the Services.
  • Move, transfer, or spend money, or enter into a financial commitment in your name, other than where you have separately and explicitly authorized that specific commitment.
  • Change the password, recovery details, or ownership of a connected account.
  • Delete a connected account, or take an action on a connected account that is unrelated to the Services you have requested.
  • Use your credentials, or any data obtained with them, to train models or for any purpose other than performing the actions you authorized.

Probe may decline to perform any action under this authority, including where the action would breach a third-party platform's terms, applicable law, or these Terms.

9.3 Credential Storage

Where a platform supports OAuth or a scoped API key, Probe requests and stores that token rather than a password. Where a platform supports neither, and only where you have separately consented on a per-platform basis, Probe stores the username and password you provide. Credentials of that kind are encrypted at rest under a dedicated key, are never displayed to Probe personnel in readable form, and are decrypted only in memory, by an automated process, to perform an action you authorized. Every decryption is written to an append-only audit log. Section 4 of our Privacy Policy describes this handling in full.

9.4 Your Warranties

You represent and warrant, for each account and credential you connect, that:

  • You own the account, or are authorized by its owner to grant the authority in Section 9.1 for it.
  • Where the account belongs to an organization, you have authority to bind that organization to this grant.
  • Granting this authority, and Probe's exercise of it, does not breach any agreement between you and the platform operator, including that platform's terms of service or its rules on automated access.
  • The credentials you provide are your own and were not obtained from any other person without their authorization.

You are responsible for reviewing each connected platform's own terms before connecting it. Probe does not represent that automated access is permitted by any particular platform.

9.5 Revocation

You may withdraw this authority at any time from your account settings, without penalty and without terminating the rest of your relationship with Probe. On withdrawal:

  • Probe stops initiating new actions on your behalf on third-party platforms.
  • Probe deletes the platform credentials it holds for you. Deletion is immediate rather than queued.
  • The credential vault and third-party connection flows become unavailable until you accept these delegation terms again.
  • Actions already completed are not reversed, and accounts created in your name remain yours to keep or close. Probe does not close them for you.

Revoking a credential at the platform's own end, for example by changing your password there, also ends Probe's practical ability to act, though you should withdraw the authority here as well so the stored credential is deleted. Withdrawal does not affect the lawfulness of anything Probe did while the authority was in force.

9.6 Allocation of Responsibility

As between you and Probe, actions Probe takes on a connected platform within the scope of Section 9.1, at your direction, are your actions. You remain responsible for their consequences, including compliance with the platform's rules and with applicable law, and Section 11 (Indemnification) applies to them.

Probe remains responsible for exceeding the scope of the authority you granted, and for failing to apply the credential protections described in Section 9.3. Section 10 (Limitation of Liability) applies to any such claim, and nothing in this Section limits any liability that cannot be limited under applicable law.

YOU ACKNOWLEDGE THAT STORING CREDENTIALS FOR THIRD-PARTY PLATFORMS CARRIES RISK THAT NO ENCRYPTION SCHEME ELIMINATES, THAT A COMPROMISE OF PROBE'S SYSTEMS COULD EXPOSE THOSE CREDENTIALS AND THE ACCOUNTS THEY UNLOCK, AND THAT YOU CHOOSE TO ACCEPT THAT RISK BY CONNECTING AN ACCOUNT. USE A UNIQUE PASSWORD FOR ANY ACCOUNT YOU CONNECT.

9.7 Record of Your Acceptance

When you accept these delegation terms, Probe records the date and time of your acceptance and the version identifier of the terms then in force. If we materially change this Section, we will ask you to accept the revised version, and the authority in Section 9.1 is suspended until you do.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that the Services will meet your specific requirements, that results obtained will be accurate or reliable, or that any errors will be corrected.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROBE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Probe and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your infringement of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. You may stop using the Services and delete your account. We may suspend or terminate your access if you breach these Terms, with or without notice depending on severity.

Upon termination, your right to use the Services ceases immediately. Sections 4, 5, 7, 9.4, 9.5, 9.6, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction for intellectual property or confidentiality violations.

YOU AND PROBE AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

15. General

  • Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Probe regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver. Failure to enforce any provision does not constitute a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a business transfer.
  • Modifications. We may update these Terms at any time by posting the revised Terms with a new "Last updated" date. Material changes will be communicated via email or prominent notice in the Services.

16. DMCA / Copyright Complaints

The Services let you deploy websites and other content generated or uploaded by you. Probe respects the intellectual property rights of others and expects users of the Services to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512, and have designated an agent to receive notifications of claimed infringement as described below.

Filing a DMCA takedown notice. If you believe content hosted or deployed through the Services infringes your copyright, send a written notice to our designated agent (contact information below) that includes, at minimum:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works;
  • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it (e.g. the deployed URL, page, or asset);
  • Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and email address;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receipt of a complete notice, we will take reasonable and appropriate action, which may include removing or disabling access to the identified material and, where applicable, notifying the user who deployed it.

Counter-notification. If you believe material you deployed was removed or disabled as a result of a mistake or misidentification, you may submit a counter-notice to our designated agent that includes, at minimum:

  • Your physical or electronic signature;
  • Identification of the material that was removed or disabled and the location at which it appeared before removal;
  • A statement, under penalty of perjury, that you have a good faith belief the material was removed or disabled as a result of mistake or misidentification;
  • Your name, address, telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, any judicial district in which Probe may be found), and that you will accept service of process from the person who filed the original notice or their agent.

Upon receipt of a valid counter-notice, we may restore the removed material within the timeframe required by law unless the original complainant informs us that they have filed a court action seeking an order to restrain the alleged infringer from engaging in infringing activity relating to the material.

Repeat infringers. We may, in appropriate circumstances and at our discretion, disable or terminate the accounts of users who are repeat infringers.

Law enforcement and legal process. We may disclose account or content information in response to a valid subpoena, court order, or other lawful legal process, and may preserve or disclose information where we believe in good faith it is necessary to comply with applicable law, protect the rights, property, or safety of Probe, our users, or the public, or investigate suspected fraud, security, or technical issues.
